Solution · Compliance and audit

Every check has a source, every decision a trace.

Beneficial owner candidates, sanctions screening, terms of office and compliance flags; all tied to the notice behind them. When the auditor asks, the answer is ready with its source.

  • Calculated, not declared
  • Exact names only
  • Flags with legal basis

Today and with Ulawk

A compliance file starts with a declaration and ends with a source.

The customer’s declaration is the start. Comparing it with the official record is usually manual work that leaves no trace.

Today

Declaration and manual checks

  • The beneficial owner form rests on the declaration alone
  • Sanctions screening raises hundreds of alerts on similar names
  • A board whose term expired goes unnoticed
  • When and how a check was done is not recorded

With Ulawk

Source and record

  • Beneficial owner candidates calculated from notices, compared with the declaration
  • Sanctions matching by exact name only; decisions recorded
  • Term alerts 60, 30 and 7 days ahead
  • Every fact with its reference, every change dated

Beneficial owners

Compare with the declaration: candidates calculated from notices.

Direct and indirect stakes are multiplied along the chain; natural persons above 25% are shown as candidates, marked as a calculation.

Sanctions screening

Eight lists, exact names only.

The company, its officers and shareholders are screened against sanctions lists. Matching uses exact names only; we do not raise false alarms because of similar names.

Matching

What happens on a possible hit?

Open the record and compare date of birth and nationality on the list. Your “not the same person” decision is recorded; the same name will not bother you again.

Compliance flags

Flags with the legal basis.

Every flag takes one of three values, yes, no or no information, and is tied to its source notice.

Board term expired

The term in the election notice or the legal maximum has passed and no renewal was seen. Basis: Turkish Commercial Code art. 362.

Managers’ term expired

The term of a limited company’s managers has passed. Basis: TCC art. 623.

Capital loss, over-indebtedness

A notice reported capital loss or over-indebtedness. Basis: TCC art. 376.

Concordat moratorium

A temporary or final moratorium was announced. Basis: Enforcement and Bankruptcy Law art. 285 ff.

Bankruptcy

A bankruptcy decision was announced. Basis: EBL art. 154 ff.

Liquidation

The company entered liquidation or creditors were called. Basis: TCC art. 533 ff.

Strike-off warning

A registry strike-off procedure notice was seen. Basis: TCC provisional art. 7.

Three values

“Yes”: a notice shows it. “No”: a notice shows the opposite. “No information”: no trace in the notices; it does not mean clean.

Audit trail

When the auditor asks, the answer is ready.

What was looked at, when, with which source and what was decided is recorded.

Checks and their basis

Which check rests on which rule?

The rule behind every flag on screen is explicit.

Our limits

It does not replace your compliance programme.

Ulawk is a sourced data layer; your programme carries the decision and the responsibility.

No information

“No information” does not mean clean; it only says there is no trace in the notices.

Candidate

Beneficial ownership is a calculation; confirm with the share ledger and declaration.

Exact names

Names spelled differently may be missed; add checks for high-risk customers.

PEP

Politically exposed person screening is not included in membership.

FAQ

Questions

If your question is not here, write to [email protected].

Does the beneficial owner calculation replace the official declaration?

No. Candidates calculated from notices are there to compare with the declaration and catch inconsistencies; they do not replace it.

Why exact names only in sanctions screening?

Similar-name matching produces many false alarms. We show records whose names match exactly; you verify a possible hit by date of birth and nationality. Extra checks are recommended for names spelled differently.

Who is screened?

The company itself, its current officers and its shareholders.

If there is no compliance flag, is the company clean?

No. A flag’s “no information” value only says there is no trace in the notices; it does not mean clean.

Are checks recorded?

Yes. Sanctions screenings and your “not the same person” decisions are recorded; every fact in the profile keeps its notice reference.
